1. Agreement to Terms
By accessing, purchasing, subscribing to, or using GPAC Software products, websites, cloud services, applications, support services, or related services, you agree to be bound by these Terms of Service.
If you do not agree with these Terms, please do not purchase, subscribe to, access, or use our Services.
2. About GPAC Software
GPAC® Software is a business management and cloud ERP software platform developed by Generation-Next IT Solution Ltd.
GPAC Software provides ERP, accounting, inventory, sales, purchasing, point-of-sale, payroll, CRM, HRM, business automation, reporting, cloud services, and related software solutions for businesses.
Global subscriptions, billing, sales, marketing, customer onboarding, and international customer support are managed by GPAC Global LLC.
For customers purchasing global subscriptions or international services, the contracting and billing entity is GPAC Global LLC. Payments for those services are collected by GPAC Global LLC or its authorized payment processor.
For customers purchasing services directly from Generation-Next IT Solution Ltd., the applicable quotation, invoice, order form, or written service agreement will identify Generation-Next IT Solution Ltd. as the contracting entity.
3. Definitions
Customer:
Any individual, company, organization, or other entity that purchases,
subscribes to, accesses, or uses GPAC Software products or services.
Services:
Software products, ERP services, SaaS subscriptions, websites, APIs,
support services, training, cloud hosting, implementation, configuration,
customization, and related offerings provided under GPAC Software.
Software:
GPAC ERP and related applications, modules, systems, cloud services,
databases, interfaces, reports, workflows, features, and technologies.
Subscription:
Any active software license, SaaS plan, cloud-service package,
maintenance agreement, recurring service plan, or paid-service arrangement.
Contracting Entity:
GPAC Global LLC or Generation-Next IT Solution Ltd., depending on the entity
identified in the applicable checkout page, quotation, invoice, order form,
proposal, or written service agreement.
4. Scope of Services
These Terms apply to GPAC Software products and services unless different terms are stated in a separate written agreement, quotation, order form, invoice, proposal, or service contract.
Features, modules, pricing, user limits, storage limits, cloud resources, hosting arrangements, support availability, customization scope, training, implementation services, and functionality may vary depending on the selected plan or service package.
GPAC Software may update, improve, modify, suspend, replace, or discontinue a feature, module, interface, or service component when reasonably required for security, performance, legal, compliance, technical, or business reasons.
Material service changes that significantly affect an active paid subscription may be communicated through the website, customer account, support channel, or registered contact information where reasonably practical.
5. Software License and Acceptable Use
GPAC Software and its related intellectual property remain the property of Generation-Next IT Solution Ltd. or its authorized licensors.
Subject to payment and continued compliance with these Terms, customers receive a limited, non-exclusive, non-transferable, revocable right to access and use the Services according to their active subscription, license, or written service agreement.
Customers must not:
- Copy, reproduce, resell, sublicense, distribute, or redistribute the Software without written authorization
- Reverse engineer, decompile, disassemble, or attempt to extract source code
- Bypass licensing, subscription, billing, security, access-control, or usage-limitation systems
- Share account credentials with unauthorized persons
- Use the Services for illegal, fraudulent, harmful, deceptive, or unauthorized purposes
- Interfere with system security, infrastructure, server performance, availability, or service operations
- Attempt unauthorized access to another customer account, database, server, network, or system
- Upload malware, harmful files, unauthorized scripts, or content that may damage or disrupt the Services
- Use the Services in a manner that infringes intellectual-property, privacy, contractual, or legal rights
6. Subscription, Billing and Payment Terms
Customers agree to pay all fees and charges stated in the applicable quotation, invoice, checkout page, order form, proposal, subscription plan, or service agreement.
Charges may include subscription fees, software-license fees, installation, setup, activation, implementation, hosting, customization, configuration, training, support, data migration, consultancy, API, integration, or other agreed service charges.
Unless otherwise agreed in writing:
- Fees are payable in advance
- Subscription fees may be charged monthly, annually, or according to another disclosed billing cycle
- The applicable amount, currency, user limit, billing interval, and service scope will be presented before payment
- Applicable taxes, bank charges, currency-conversion costs, or other charges clearly disclosed before payment may apply, subject to applicable law
- Late, failed, reversed, disputed, or unpaid invoices may result in service restriction, temporary suspension, or termination
- Pricing and service charges may be updated for future billing periods after reasonable notice where applicable
Where a recurring subscription is selected, the subscription will automatically renew at the end of each billing cycle unless the customer cancels it before the next renewal date.
By completing a recurring subscription purchase, the customer authorizes the applicable contracting entity and its authorized payment processor to charge the selected payment method for recurring fees until the subscription is cancelled.
Customers are responsible for maintaining accurate billing information, valid payment details, and sufficient funds for applicable charges.
7. Cancellation and Refund Policy
Customers may cancel a subscription before the next renewal date by submitting a cancellation request through the official GPAC Live Chat Support available on the GPAC Software website.
Customers may also submit a cancellation request through the GPAC Support Portal at https://support.gpacerp.com or by emailing support@gpacsoftware.com .
Customers should provide sufficient account, company, subscription, and contact information so that the cancellation request can be verified and processed.
Unless otherwise stated in the applicable order form, invoice, quotation, or subscription plan, cancellation takes effect at the end of the current paid billing period.
Cancellation normally stops future renewal charges. It does not automatically qualify the customer for a refund of the current billing period or previously completed services.
Refund eligibility is governed by our Return, Cancellation and Subscription Refund Policy .
Installation, setup, activation, implementation, configuration, customization, training, consultancy, data migration, payment-processing, banking, tax, domain, hosting, integration, and third-party service charges are generally non-refundable after the applicable work or service has begun, except where otherwise required by law or agreed in writing.
Global subscription billing, cancellation requests, and eligible refunds are managed by GPAC Global LLC for international customers.
8. Support and Maintenance
Customers may receive support and maintenance services according to their active subscription, service package, implementation plan, or written support agreement.
Support services may include:
- Technical troubleshooting
- Product and workflow guidance
- Configuration assistance within the agreed service scope
- Software updates and defect-related assistance
- Cloud-service assistance
- General technical support
Customers may contact support through the official GPAC Live Chat Support available on the GPAC Software website.
Support requests may also be submitted through:
Support availability, response times, priority, communication channel, service scope, and resolution time may vary according to the subscription, support agreement, issue category, business hours, technical complexity, and availability of required information.
Unless separately agreed in writing, standard support does not include software customization, accounting consultancy, legal advice, tax advice, audit services, customer data entry, data verification, third-party system troubleshooting, hardware repair, network administration, or customer-side operational work.
9. Customer Responsibilities
Customers are responsible for:
- Maintaining the confidentiality of account credentials
- Managing users, roles, permissions, and access levels
- Using secure passwords and supported authentication controls
- Using the Services lawfully and responsibly
- Ensuring the accuracy and authorization of entered data
- Maintaining necessary internal approvals and business records
- Reviewing financial, accounting, inventory, payroll, and tax outputs
- Maintaining backup copies where required by their service arrangement
- Training staff or requesting training where necessary
- Maintaining suitable internet access, devices, browsers, networks, and customer-side infrastructure
- Informing GPAC Software promptly about suspected unauthorized access or security incidents
Customers are responsible for activities performed through their accounts by employees, users, agents, contractors, or authorized representatives.
10. Data Privacy, Ownership and Security
GPAC Software works to handle personal, financial, operational, and business information responsibly while maintaining reliable software and cloud services.
Customers retain ownership and control of the business data they enter or upload into GPAC ERP, subject to applicable law, payment status, and the technical requirements of providing the Services.
Customer data may be processed for the purpose of providing, maintaining, securing, supporting, improving, billing, and operating the Services.
Customers are responsible for ensuring that data entered into the system is lawful, accurate, properly authorized, and collected or processed in accordance with applicable legal and contractual requirements.
Customers must not upload data that they do not have the legal authority or necessary permission to process.
Please refer to the GPAC Software Privacy Policy and Security Features page for additional information regarding privacy, data processing, and security practices.
11. Service Availability
We work to maintain stable and reliable software and cloud ERP services. However, continuous, uninterrupted, or error-free access is not guaranteed.
Service interruptions may occur due to:
- Scheduled or emergency maintenance
- Infrastructure upgrades
- Internet, network, or power failures
- Security incidents or suspected threats
- Customer-side device or connectivity issues
- Third-party software or service failures
- Cloud hosting or data-center issues
- Legal, regulatory, or compliance requirements
- Force majeure or other events beyond reasonable control
We will make reasonable efforts to restore affected services as soon as practical, taking into account the nature and cause of the interruption.
12. Disclaimer of Warranties
The Services are provided on an “as available” basis.
To the extent permitted by applicable law, we do not guarantee that every feature will always operate without interruption, delay, error, incompatibility, or security risk.
Reports, calculations, workflows, account balances, inventory values, financial statements, tax calculations, payroll results, and other system outputs depend on customer-entered data, system configuration, selected modules, implementation settings, and authorized user activity.
Customers are responsible for reviewing and validating important financial, accounting, tax, inventory, payroll, operational, and management information before relying on it or submitting it to a third party or government authority.
GPAC Software does not provide legal, tax, audit, or regulated financial advice unless expressly stated in a separate written agreement.
13. Limitation of Liability
To the maximum extent permitted by applicable law, GPAC Software, GPAC Global LLC, Generation-Next IT Solution Ltd., their affiliates, employees, directors, agents, contractors, service providers, and partners will not be liable for indirect, incidental, special, punitive, consequential, financial, business, or reputational damages arising from the use of or inability to use the Services.
This may include loss of profit, loss of business, loss of opportunity, business interruption, data loss, incorrect data entry, accounting errors, tax-calculation issues, customer-side misuse, unauthorized access caused by customer negligence, or third-party service failure.
To the maximum extent permitted by applicable law, the total aggregate liability of the applicable contracting entity arising from or related to the affected Services will not exceed the fees paid by the customer for those Services during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
14. Suspension and Termination
The applicable contracting entity may suspend, restrict, or terminate access to the Services where reasonably necessary if:
- These Terms or another applicable agreement are violated
- Payments remain overdue or fail repeatedly
- Unauthorized, abusive, or suspicious activity is detected
- There is a security risk to the customer, the platform, or other users
- The Services are used for illegal, fraudulent, or harmful purposes
- The customer attempts to bypass licensing, access, billing, subscription, or security controls
- Continued service would violate applicable law or third-party obligations
Where reasonably practical, the customer may be notified and given an opportunity to correct a violation before termination, except where immediate action is required for security, legal, fraud-prevention, or operational reasons.
Upon termination, customers must stop using the affected Services where applicable.
15. Data Access After Cancellation or Termination
Before subscription expiry or termination, customers should export or request copies of business data they are entitled to receive.
Post-termination data access, export assistance, retention periods, supported formats, and associated service charges may depend on the subscription plan, hosting arrangement, payment status, technical feasibility, backup status, and applicable data-retention policy.
Customer data may be deleted after the applicable retention period, except where continued retention is required for legal, security, billing, backup, fraud-prevention, dispute-resolution, or legitimate business purposes.
Customers should not rely on indefinite post-termination access to their account or data.
16. Third-Party Services
GPAC Software may integrate with or depend on third-party payment processors, cloud hosting providers, APIs, communication platforms, SMS gateways, email providers, analytics services, banking services, and other technologies.
Third-party services are governed by their own terms, privacy policies, pricing, technical limitations, availability, and service conditions.
GPAC Software is not responsible for interruptions, changes, charges, restrictions, data-processing practices, or failures caused by third-party service providers outside our reasonable control.
17. Intellectual Property Rights
All software, source code, system architecture, database structures, designs, workflows, reports, documentation, trademarks, logos, interfaces, content, and related GPAC Software materials are the intellectual property of Generation-Next IT Solution Ltd. or its authorized licensors.
Customers are not granted ownership of the Software or its intellectual property.
Customers receive only the access and usage rights provided under their active subscription, license, order form, or written agreement.
18. Changes to These Terms
These Terms may be updated, modified, or replaced periodically to reflect changes in the Services, business operations, legal requirements, payment arrangements, or security practices.
Updated Terms will be published on the official GPAC Software website with a revised “Last Updated” date.
Where required or reasonably appropriate, material changes may also be communicated through the customer account, website notification, support channel, or registered contact information.
Continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms, subject to applicable law.
19. Governing Law and Contracting Entity
The contracting entity and applicable governing law will be determined by the entity identified in the applicable checkout page, quotation, invoice, order form, proposal, or written service agreement.
Where GPAC Global LLC is the contracting entity, these Terms are governed by the applicable laws of the State of Wyoming and the United States, without regard to conflict-of-law principles, subject to any mandatory legal protections that apply to the customer.
Where Generation-Next IT Solution Ltd. is the contracting entity, these Terms are governed by the applicable laws of Bangladesh, subject to any different terms stated in a written agreement.
Before starting formal legal proceedings, the parties should make reasonable efforts to resolve disputes through direct communication and the official GPAC support channels.
