1. Agreement to Terms
By accessing, purchasing, subscribing to, or using GPAC Software products, websites, cloud services, applications, support services, or related services, you agree to these Terms of Service.
If you do not agree with these Terms, please do not purchase, subscribe to, access, or use our Services.
2. About GPAC Software
GPAC® Software is a business software and cloud ERP solution originally developed by Generation-Next IT Solution Ltd..
GPAC Software provides cloud-based ERP, accounting, inventory, POS, payroll, CRM, HRM, business automation, and related SaaS services for businesses.
For international customers, GPAC Software subscription services, billing, customer onboarding, and related SaaS business operations are provided and managed by GPAC Global LLC.
3. Definitions
Customer:
Any individual, company, organization, or entity that purchases, subscribes to, accesses, or uses GPAC Software products or services.
Services:
Software products, cloud ERP services, SaaS subscriptions, websites, APIs, support services, training services, cloud hosting, implementation services, and related offerings provided under GPAC Software.
Software:
GPAC ERP and related software applications, modules, systems, cloud services, databases, features, interfaces, reports, workflows, and related technologies.
Subscription:
Any active software license, SaaS plan, cloud service package, maintenance agreement, recurring service plan, or paid service arrangement.
4. Scope of Services
These Terms apply to all GPAC Software products and services unless otherwise specified in a separate written agreement, quotation, order form, invoice, proposal, or service contract.
Features, modules, pricing, user limits, storage limits, cloud resources, support availability, customization scope, training scope, and functionality may vary depending on the selected subscription plan or service package.
GPAC Software may update, improve, modify, suspend, or discontinue any feature, module, interface, or service component when required for security, performance, compliance, business, or technical reasons.
5. SaaS License and Acceptable Use
GPAC Software remains the intellectual property of Generation-Next IT Solution Ltd. Customers are granted a limited, non-exclusive, non-transferable, revocable right to access and use the Services based on their active subscription or service plan.
Customers must not:
- Copy, resell, sublicense, distribute, or redistribute the Software without written permission
- Reverse engineer, decompile, disassemble, or attempt to extract source code
- Bypass licensing, subscription, security, access control, or usage limitation systems
- Use the Services for illegal, fraudulent, harmful, or unauthorized purposes
- Interfere with system security, cloud infrastructure, server performance, or service operations
- Attempt unauthorized access to other customer accounts, databases, servers, or systems
- Upload harmful files, malware, scripts, or content that may damage the service
6. Subscription, Billing and Payment Terms
Customers agree to pay all applicable subscription fees, service charges, installation fees, implementation fees, cloud hosting charges, customization fees, training fees, support fees, or other agreed charges related to the Services.
Unless otherwise agreed in writing:
- Fees are payable in advance
- Subscription fees may be recurring monthly, yearly, or based on the selected billing cycle
- Taxes, VAT, government charges, payment gateway fees, bank charges, or international transaction fees may apply where applicable
- Late, failed, or unpaid invoices may result in temporary suspension, service restriction, or termination of account access
- Pricing, subscription plans, service charges, or cloud charges may be updated periodically
Customers are responsible for maintaining accurate billing information and ensuring timely payment of all invoices.
7. Cancellation and Refund Policy
Customers may cancel their subscription by submitting a cancellation request through the official support channel before the next billing cycle.
Cancellation will normally stop future billing from the next applicable billing period. Cancellation does not automatically qualify the customer for a refund of the current billing cycle.
Refunds, if applicable, will be handled according to the official Return, Cancellation and Subscription Refund Policy of GPAC Software or GPAC Global LLC.
First month service charges, installation fees, setup fees, activation fees, configuration fees, customization fees, implementation fees, training fees, consultancy fees, payment gateway fees, bank charges, taxes, domain charges, hosting charges, and third-party service charges are generally non-refundable.
8. Support and Maintenance
Customers may receive support and maintenance services based on their active subscription plan or service agreement.
Support services may include:
- Technical troubleshooting
- Product guidance
- Software updates
- Cloud service assistance
- General technical support
Support requests are primarily managed through the official GPAC support ticketing system:
Support availability, response time, service scope, and priority may vary depending on the selected service package, subscription plan, support agreement, and issue category.
Support does not include software customization, accounting consultancy, data entry, data validation, legal advice, tax advice, audit support, third-party troubleshooting, hardware support, network support, or customer-side operational work unless separately agreed in writing.
9. Customer Responsibilities
Customers are responsible for:
- Maintaining account confidentiality
- Managing user access permissions
- Using strong and secure passwords
- Using the Services lawfully and responsibly
- Ensuring the accuracy of entered data
- Maintaining necessary internal approvals and business records
- Keeping backup copies of important records where necessary
- Training their staff or requesting training where required
- Maintaining stable internet, devices, and customer-side infrastructure
Customers are fully responsible for all activities performed under their accounts, including activities by employees, users, agents, or authorized representatives.
10. Data Privacy and Security
GPAC Software works to handle personal, financial, and business information responsibly while maintaining secure and reliable SaaS services.
Customers retain ownership and control of their business data stored within GPAC ERP systems.
We may process customer data only for the purpose of providing, maintaining, improving, securing, supporting, and operating the Services.
Customers are responsible for ensuring that the data they enter into the system is lawful, accurate, authorized, and compliant with applicable rules and regulations.

11. Service Availability
We continuously work to maintain stable and reliable cloud ERP services. However, uninterrupted access is not guaranteed.
Service interruptions may occasionally occur due to:
- Scheduled maintenance
- Emergency maintenance
- Infrastructure upgrades
- Internet or network failures
- Power disruptions
- Security incidents
- Third-party service failures
- Cloud hosting provider issues
- Force majeure or uncontrollable external events
We will make reasonable efforts to restore affected services as soon as possible.
12. Limitation of Liability
GPAC Software, GPAC Global LLC, Generation-Next IT Solution Ltd., affiliates, employees, directors, agents, service providers, or partners shall not be responsible for indirect, incidental, special, consequential, financial, business, or reputational damages arising from the use of or inability to use the Services.
This includes but is not limited to loss of profit, loss of business, loss of data, business interruption, incorrect data entry, accounting errors, tax calculation issues, customer-side misuse, third-party service failure, or unauthorized account access caused by customer-side negligence.
In most cases, our total responsibility related to any claim will be limited to the amount paid by the customer for the applicable Services during the related service period.
13. Suspension and Termination
We reserve the right to suspend, restrict, or terminate access to the Services if:
- These Terms are violated
- Unauthorized activity is detected
- Payments remain overdue
- Security risks, misuse, abuse, or suspicious activity occur
- The Services are used for illegal, fraudulent, or harmful purposes
- The customer attempts to bypass licensing, billing, or security systems
Upon termination, customers must stop using the affected Services where applicable. Data access after termination may be limited and subject to applicable policy, payment status, technical feasibility, and legal requirements.
14. Third-Party Services
GPAC Software may integrate with third-party platforms, payment gateways, APIs, cloud hosting providers, communication services, SMS gateways, email services, analytics systems, and related technologies.
Third-party services are governed by their own terms, policies, pricing, availability, and service conditions. We are not responsible for interruptions, changes, charges, restrictions, or failures caused by third-party service providers.
15. Intellectual Property Rights
All software, source code, system architecture, database structure, design, workflow, reports, documentation, trademarks, logos, content, and related materials of GPAC Software are the intellectual property of Generation-Next IT Solution Ltd. or its authorized licensors.
Customers are not granted ownership of the Software. Customers only receive access rights based on their active subscription or written agreement.
16. Changes to These Terms
GPAC Software may update, modify, or replace these Terms periodically.
Updated versions will be published on the official website with a revised update date. By continuing to use the Services after updates are published, customers agree to the revised Terms.
17. Governing Law
These Terms are generally subject to applicable laws and regulations related to the services provided, customer location, payment method, and operating business entity.
Where services are provided through GPAC Global LLC, applicable U.S. business and contract principles may apply. Where services are provided through Generation-Next IT Solution Ltd., applicable Bangladesh laws and regulations may apply, unless otherwise stated in a separate written agreement.
